236 THE ACCOMPANYING PROGRAM IS PROVIDED UNDER THE TERMS OF THIS COMMON

303 responsibility to secure any other intellectual property rights

309 d) Each Contributor represents that to its knowledge it has sufficient

340 When the Program is made available in source code form:

342 a) it must be made available under this Agreement; and

344 b) a copy of this Agreement must be included with each copy of

347 Contributors may not remove or alter any copyright notices contained

350 Each Contributor must identify itself as the originator of its
\r
351 Contribution, if any, in a manner that reasonably allows subsequent
\r
352 Recipients to identify the originator of the Contribution.

354 4. COMMERCIAL DISTRIBUTION
\r
356 Commercial distributors of software may accept certain responsibilities
\r
357 with respect to end users, business partners and the like. While this
\r
358 license is intended to facilitate the commercial use of the Program,
\r
359 the Contributor who includes the Program in a commercial product offering
\r
360 should do so in a manner which does not create potential liability for
\r
361 other Contributors. Therefore, if a Contributor includes the Program
\r
362 in a commercial product offering, such Contributor ("Commercial
\r
363 Contributor") hereby agrees to defend and indemnify every other
\r
364 Contributor ("Indemnified Contributor") against any losses, damages
\r
365 and costs (collectively "Losses") arising from claims, lawsuits and

366 other legal actions brought by a third party against the Indemnified
\r
367 Contributor to the extent caused by the acts or omissions of such
\r
368 Commercial Contributor in connection with its distribution of the

369 Program in a commercial product offering. The obligations in this

370 section do not apply to any claims or Losses relating to any actual
\r
371 or alleged intellectual property infringement. In order to qualify,
\r
372 an Indemnified Contributor must: a) promptly notify the Commercial
\r
373 Contributor in writing of such claim, and b) allow the Commercial
\r
374 Contributor to control, and cooperate with the Commercial Contributor
\r
375 in, the defense and any related settlement negotiations. The Indemnified
\r
376 Contributor may participate in any such claim at its own expense.
\r
378 For example, a Contributor might include the Program in a commercial
\r
379 product offering, Product X. That Contributor is then a Commercial
\r
380 Contributor. If that Commercial Contributor then makes performance
\r
381 claims, or offers warranties related to Product X, those performance
\r
382 claims and warranties are such Commercial Contributor's responsibility
\r
383 alone. Under this section, the Commercial Contributor would have to
\r
384 defend claims against the other Contributors related to those
\r
385 performance claims and warranties, and if a court requires any other
\r
386 Contributor to pay any damages as a result, the Commercial Contributor
\r
387 must pay those damages.
\r
391 EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS PROVIDED
\r
392 ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER
\r
393 EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR
\r
394 CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR
\r
395 A PARTICULAR PURPOSE. Each Recipient is solely responsible for
\r
396 determining the appropriateness of using and distributing the Program
\r
397 and assumes all risks associated with its exercise of rights under this
\r
398 Agreement, including but not limited to the risks and costs of program
\r
399 errors, compliance with applicable laws, damage to or loss of data,
\r
400 programs or equipment, and unavailability or interruption of operations.

402 6. DISCLAIMER OF LIABILITY
\r
404 EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR
\r
405 ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT,
\r
406 INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING
\r
407 WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF
\r
408 LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
\r
409 NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
\r
410 DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED
\r
411 HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
\r
415 If any provision of this Agreement is invalid or unenforceable under
\r
416 applicable law, it shall not affect the validity or enforceability of
\r
417 the remainder of the terms of this Agreement, and without further
\r
418 action by the parties hereto, such provision shall be reformed to the
\r
419 minimum extent necessary to make such provision valid and enforceable.
\r
421 If Recipient institutes patent litigation against a Contributor with
\r
422 respect to a patent applicable to software (including a cross-claim or
\r
423 counterclaim in a lawsuit), then any patent licenses granted by that
\r
424 Contributor to such Recipient under this Agreement shall terminate as of
\r
425 the date such litigation is filed. In addition, if Recipient institutes
\r
426 patent litigation against any entity (including a cross-claim or
\r
427 counterclaim in a lawsuit) alleging that the Program itself (excluding
\r
428 combinations of the Program with other software or hardware) infringes
\r
429 such Recipient's patent(s), then such Recipient's rights granted under
\r
430 Section 2(b) shall terminate as of the date such litigation is filed.
\r
432 All Recipient's rights under this Agreement shall terminate if it fails
\r
433 to comply with any of the material terms or conditions of this Agreement
\r
434 and does not cure such failure in a reasonable period of time after
\r
435 becoming aware of such noncompliance. If all Recipient's rights under
\r
436 this Agreement terminate, Recipient agrees to cease use and distribution
\r
437 of the Program as soon as reasonably practicable. However, Recipient's
\r
438 obligations under this Agreement and any licenses granted by Recipient
\r
439 relating to the Program shall continue and survive.
\r
441 Everyone is permitted to copy and distribute copies of this Agreement,
\r
442 but in order to avoid inconsistency the Agreement is copyrighted and may
\r
443 only be modified in the following manner. The Agreement Steward reserves
\r
444 the right to publish new versions (including revisions) of this Agreement
\r
445 from time to time. No one other than the Agreement Steward has the right
\r
446 to modify this Agreement. IBM is the initial Agreement Steward. IBM may
\r
447 assign the responsibility to serve as the Agreement Steward to a suitable
\r
448 separate entity. Each new version of the Agreement will be given a
\r
449 distinguishing version number. The Program (including Contributions) may
\r
450 always be distributed subject to the version of the Agreement under which
\r
451 it was received. In addition, after a new version of the Agreement is
\r
452 published, Contributor may elect to distribute the Program (including
\r
453 its Contributions) under the new version. Except as expressly stated in
\r
454 Sections 2(a) and 2(b) above, Recipient receives no rights or licenses
\r
455 to the intellectual property of any Contributor under this Agreement,
\r
456 whether expressly, by implication, estoppel or otherwise. All rights in
\r
457 the Program not expressly granted under this Agreement are reserved.
\r
459 This Agreement is governed by the laws of the State of New York and the
\r
460 intellectual property laws of the United States of America. No party to
\r
461 this Agreement will bring a legal action under this Agreement more than
\r
462 one year after the cause of action arose. Each party waives its rights
\r
463 to a jury trial in any resulting litigation.
